FHICO – Terms of Business, Sale & Product Use

These Terms & Conditions govern the sale, distribution, purchase, storage, handling and use of FHICO products. By purchasing, distributing, reselling or using an FHICO product, the concerned party is expected to comply with the applicable commercial terms, product instructions and technical requirements.

FHICO products are engineered construction materials. Their performance depends not only on the product itself but also on correct product selection, storage, substrate condition, water quality, mixing, application, workmanship, curing and prevailing site conditions

Distribution & Sales Policy

FHICO follows an authorized distribution-led business model.

FHICO products are ordinarily supplied through:

FHICO → Authorized Distributor → Retailer → Customer / User

Retailers are therefore normally serviced through the authorized FHICO distributor appointed for the relevant territory/district, subject to the applicable commercial policy.

Appointment of a distributor, retailer or other channel participant does not create any partnership, agency, employment, joint venture or authority to bind FHICO unless specifically provided through a written agreement.

No distributor or retailer is authorized to make commitments, warranties, technical representations or performance guarantees on behalf of FHICO beyond the company’s officially published documentation.

Authorized Distribution

Distribution rights are governed by the applicable distributorship agreement, territory allocation, commercial terms, product policy and performance requirements issued by FHICO.

Appointment of a distributor does not automatically confer permanent or unrestricted territorial exclusivity unless specifically confirmed in writing by FHICO.

FHICO reserves the right to review distribution arrangements based on factors including market development, service standards, stock availability, payment discipline, product representation and compliance with company policies.

Retail Sales

FHICO products should reach the market through the company’s approved distribution and retail network.

Retailers shall procure FHICO products from the authorized supply channel applicable to their market unless otherwise specifically approved by FHICO.

Retailers must preserve the original product identity, packaging, batch information and usage instructions and must not alter, repack, dilute, modify or misrepresent any FHICO product.

Product-Specific Application Standards

Every FHICO product is developed for a defined application and prescribed method of use.

The applicable process specified for the particular product—including requirements relating to:

surface preparation • mixing ratio • water quantity and quality • mixing procedure • application method • application thickness • working time • environmental conditions • curing • drying • storage • safety precautions

must be followed.

Instructions applicable to one FHICO product should not automatically be assumed to apply to another FHICO product.

The latest applicable Product Data Sheet, Technical Data Sheet, Application Guide, packaging instructions and officially issued technical communication should be referred to before use.

Water Quality

Water used for mixing, application and curing should be suitable for the intended construction application and comply with applicable construction practices and standards.

Groundwater and other site water can vary substantially in dissolved salts, hardness, chlorides, sulphates, alkalinity and other constituents.

FHICO products must not be interpreted as making otherwise unsuitable construction water automatically suitable for use.

Where water quality is doubtful, appropriate testing should be undertaken before application.

Substrate & Site Conditions

Before application, the user/applicator must assess the substrate and surrounding construction conditions.

Existing problems such as:

active water leakage • rising damp • excessive substrate moisture • soluble salts/efflorescence • unstable masonry • structural cracking • contaminated surfaces • loose plaster • inadequate substrate strength

may require separate corrective treatment before an FHICO plaster or related product is applied.

A surface product alone should not be considered a substitute for correcting an underlying structural, waterproofing, plumbing or moisture-source problem.

 

Product Performance

FHICO develops its products to achieve defined performance characteristics when correctly selected, stored, mixed and applied under suitable conditions.

Actual site performance may vary depending upon factors outside FHICO’s direct control, including substrate quality, cement quality, aggregates, water, workmanship, environmental exposure, mixing equipment, application thickness and curing practices.

Technical or marketing descriptions such as improved bonding, reduced cracking tendency, improved moisture resistance, better workability or improved durability should be understood in the context of the relevant product specifications, test conditions and recommended application procedure.

Product Selection

Different FHICO products are developed for different performance requirements.

Customers, retailers, contractors and applicators should select the product appropriate to the intended application.

Where the correct product or application method is uncertain, users are encouraged to contact FHICO Technical Support before application.

No Unauthorized Claims

Distributors, retailers, contractors, applicators, influencers or other third parties must not:

alter FHICO technical information • make unapproved performance guarantees • claim applications not approved by FHICO • publish misleading comparisons • disclose or represent speculative product formulations • modify FHICO branding or packaging without authorization.

Only current FHICO-approved product literature and communication should be used for product representation.

Technical Information & Continuous Development

FHICO follows a policy of continuous product development.

Product specifications, packaging, application recommendations, technical literature and other details may therefore be revised from time to time as part of product improvement, regulatory requirements or manufacturing development.

Users should refer to the latest available version of the applicable product documentation.

Intellectual Property & Proprietary Technology

FHICO product formulations, manufacturing methods, technical systems, designs, trademarks, product names, graphics, documentation and other proprietary information are owned by or licensed to FHICO and/or the relevant legal entity.

Public descriptions of FHICO technology are intended to explain product functionality and do not constitute disclosure of proprietary formulations, compositions or manufacturing know-how.

Unauthorized copying, reproduction, reverse representation or commercial use of FHICO intellectual property is prohibited subject to applicable law.

Pricing & Commercial Terms

Prices, margins, schemes, freight arrangements, credit terms, territory conditions and other commercial matters are governed by the applicable FHICO commercial policy and/or written agreement.

Prices and commercial terms may be revised from time to time.

The applicable invoice and formally communicated commercial terms shall govern the relevant transaction.

Statutory Taxes

Applicable GST and other statutory taxes, duties or levies shall be charged and accounted for in accordance with applicable law and the relevant invoice/commercial arrangement.

Limitation to Proper Product Use

FHICO’s responsibility in relation to its products is subject to the product being genuine, within shelf life, appropriately stored and used for its intended application according to the applicable instructions.

FHICO cannot be responsible for failures caused by improper storage, incorrect mixing, unsuitable water/materials, defective substrates, unauthorized modification, incorrect application, inadequate workmanship, structural movement, uncontrolled moisture sources or failure to follow applicable technical instructions, subject always to rights and liabilities that cannot lawfully be excluded.

Nothing in these Terms is intended to restrict any mandatory rights available under applicable law.

Acceptance

Purchase, distribution, resale or use of an FHICO product constitutes acknowledgement that the applicable product instructions, commercial conditions and these Terms & Conditions should be followed, subject to applicable law and any separately executed written agreement.
